Resolution approving the Third Amendment to the Consulting Services Agreement with Du-All Safety for safety program consultant services, for an additional $70,000 for a total contract amount not to exceed $445,000.

WHEREAS, on July 13, 2016, the City Council of the City of South San Francisco approved a consulting services agreement ("Agreement ") with Du-All to provide safety program consulting services in an amount not to exceed 125,000, attached hereto and incorporated herein as Exhibit A; and
WHEREAS, on September 6, 2017 the City Council approved the first amendment to the agreement ("First Amendment") to include a second year and to increase the amount by $125,000 for a total not to exceed $250,000, and on June 27, 2018 City Council approved the second amendment to the agreement ("Second Amendment") for a third year, for a total not to exceed $375,000 attached hereto and incorporated herein within Exhibit A; and
WHEREAS, in order to implement safety engagement and recognition programs, complete remaining written safety plans and to continue employee training, staff prepared an amendment ("Third Amendment") to the Agreement to extend the term for an additional six months and to increase the contract amount by $125,000, for a total not to exceed amount of $445,000, attached hereto and incorporated herein as Exhibit B; and
WHEREAS, staff recommends that the City Council approve the Third Amendment.
NOW THEREFORE BE IT RESOLVED, that the City Council of the City of South San Francisco hereby takes the following actions:
1. Approves the Third Amendment to the Agreement extending the term for six months and increasing the not to exceed amount to $445,000, attached hereto and incorporated herein as Exhibit B.
2. Authorizes the City Manager to execute the Third Amendment and to make any revisions, amendments, or modifications, deemed necessary to carry out the intent of this resolution which do not materially alter or increase the City's oblig...
