Resolution authorizing the City Manager or authorized designee to execute Fourth Amendments to the Services Agreements with Frank and Grossman Landscape Contractors, Inc. of Hayward, California for citywide right-of-way landscape maintenance services and with Gothic Landscaping of San Jose, California for Common Greens landscape maintenance services, extending the agreements through July 31, 2026.

WHEREAS, the City of South San Francisco (“City”) issued a Request for Proposals for Landscape Maintenance Services on March 1, 2021; and
WHEREAS, the City awarded an agreement to Frank and Grossman Landscape Contractors, Inc. of Hayward, California for the Right-of-Way Landscape Maintenance Services Project and an agreement to Gothic Landscaping of San Jose, California for the Common Greens Landscape Maintenance Services Project based on the firms’ qualifications, experience, project understanding, and cost proposals; and
WHEREAS, the initial terms of those agreements ended on June 30, 2023; and
WHEREAS, the first amendments to the agreements ended on June 30, 2024; and
WHEREAS, the second amendments to the agreements ended on June 30, 2025; and
WHEREAS, the third amendments to the agreements expire on June 30, 2026; and
WHEREAS, staff has favorably reviewed the performance of both contractors throughout the terms of the agreements; and
WHEREAS, the City has initiated a competitive procurement process for future landscape maintenance services through Request for Proposals Project No. PR-LMROW-0726 for Right-of-Way Landscape Maintenance Services and Request for Proposals Project No. PR-CGLM-0726 for Common Greens Landscape Maintenance Services in early 2026, both of which were advertised and closed on June 5, 2026; and
WHEREAS, implementation requirements associated with California Assembly Bill 339, including additional noticing requirements related to affected bargaining units, have extended the anticipated procurement timeline; and
WHEREAS, staff recommends extending the existing agreements through July 31, 2026, to ensure continuity of landscape maintenance services while the competitive procurement process is completed and replacement agreements are awarded; and
WHEREAS, staff anticipates that a one-month extension will be sufficient to complete the procurement process and award replacement agreements, but requests authorizing the City Manager or authorized designee to approve up to two additional one-month extensions for both agreements, if necessary, to avoid any interruption in service; and
WHEREAS, funding for the proposed extensions is available within existing appropriations in the Parks and Recreation Department operating budget, the applicable Common Greens funds, and other existing funding sources supporting these services, and no additional appropriation is required.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of South San Francisco hereby approves Fourth Amendments to the Consulting Services Agreements with Frank and Grossman Landscape Contractors, Inc. of Hayward, California and Gothic Landscaping of San Jose, California, extending the agreements through July 31, 2026, which amendments are attached as Exhibits A and B and incorporated herein.
BE IT FURTHER RESOLVED that the City Council authorizes the City Manager or authorized designee to approve up to two additional one-month extensions of the agreements, if necessary, to allow sufficient time to complete the competitive procurement process and execute new agreements, subject to the availability of appropriated funds.
BE IT FURTHER RESOLVED that the City Council authorizes the City Manager or authorized designee to execute the Fourth Amendments in substantially the same form as Exhibits A and B, conditioned upon the contractors’ timely execution of the amendments and submission of all required documents, including, but not limited to, certificates of insurance and endorsements.
BE IT FURTHER RESOLVED that the City Manager or authorized designee is hereby authorized to execute any other necessary documents on behalf of the City to implement the intent of this resolution, subject to approval as to form by the City Attorney.
