WHEREAS, the City of South San Francisco ("City") uses Bigbelly smart waste and recycling stations to maintain clean public spaces and improve waste collection efficiency; and

WHEREAS, the City entered into Connect Services Agreement No. 10187 with Bigbelly Solar, LLC ("Bigbelly") on September 14, 2020, and subsequently amended the agreement to expand the program to include 25 stations consisting of 23 double stations and two triple stations; and

WHEREAS, the City desires to renew its existing Connect Services Agreement, as amended, to maintain service for all 25 existing stations and establish a common agreement expiration date of October 31, 2031, without purchasing or installing additional stations; and

WHEREAS, the proposed renewal would establish a new spending authorization for services through October 31, 2031, separate from the funding previously authorized under the original agreement and its amendments; and

WHEREAS, the renewal includes monitoring software, automated service alerts, annual cleaning and inspections, equipment warranty coverage, and customer support; and

WHEREAS, under the proposed renewal, the first 20 double stations have a renewal term beginning November 1, 2026, and the remaining three double stations and two triple stations have a renewal term beginning August 23, 2028, with all stations having a common expiration date of October 31, 2031; and

WHEREAS, Bigbelly is the sole authorized provider of its proprietary equipment and CLEAN monitoring system for the City, supporting a sole source procurement under Chapter 4.04 of the South San Francisco Municipal Code and the City's Purchasing Procedures; and

WHEREAS, the total proposed renewal cost is $365,471.76, consisting of $309,288.00 for the first 20 double stations and $56,183.76 for the remaining three double stations and two triple stations; and

WHEREAS, funding for the agreement will be provided through the City's annual CalRecycle Beverage Container Recycling City/County Payment Program allocation, the Parking Fund, and the Solid Waste Reduction Fund; and

WHEREAS, sufficient funding is available in the Parking Fund and Solid Waste Reduction Fund within the City's adopted operating budget for the current fiscal year, with future expenditures subject to available appropriations.

NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of South San Francisco hereby:

1.                     Approves the renewal of Connect Services Agreement No. 10187, dated September 14, 2020, as amended, with Bigbelly Solar, LLC for 25 existing smart waste and recycling stations, with a common agreement expiration date of October 31, 2031, in an amount not to exceed $365,471.76 pursuant to the proposed renewal document attached hereto and incorporated herein as Exhibit A.

2.                     Authorizes the City Manager or their designee to execute the renewal document in substantially the same form as Exhibit A and any related documents, subject to approval as to form by the City Attorney, provided that the total agreement amount does not exceed $365,471.76.

3.                     Authorizes the City Manager or their designee to make minor, non-substantive changes to the agreement that do not increase the authorized not-to-exceed amount or materially change the scope of services.

4.                     Provides that expenditures under the agreement shall be made from available funding in the CalRecycle Beverage Container Recycling City/County Payment Program allocation, Parking Fund, and Solid Waste Reduction Fund, subject to applicable budget appropriations.
