Resolution authorizing a one-year extension of purchase agreements with distributors Baker & Taylor, LLC, and Brodart Co. to supply library books and audiovisual materials and provide services.

WHEREAS, the Library Department issued a Request for Proposals (RFP) for Library Materials and Services in November 2022 and received responses from six vendors, including Baker & Taylor, LLC and Brodart Co., who were a part of the pool of distributors deemed qualified to supply materials and services to the Library; and
WHEREAS, purchase agreements were arranged with Baker & Taylor, LLC and Brodart Co. to supply materials and services through June 30, 2025, for a not-to-exceed amount of $300,000 each, with an option for two one-year extensions; and
WHEREAS, by renewing these purchase agreements for one year, as authorized by the initial agreements, Library staff will continue to be able to order materials and services from either of these distributors; and
WHEREAS, the one-year extension will run from July 1, 2025, through June 30, 2026, and each distributor has updated its terms to reflect increased costs of providing materials and services; and
WHEREAS, authorizing the extension of purchase agreements with library distributors will continue to provide efficiencies for the Library Department. These agreements do not obligate the City to purchase any minimum amount of materials or services from any distributor. There are sufficient funds in the Library budget to implement this recommendation; and
WHEREAS, purchase agreements with library materials distributors Baker & Taylor, LLC and Brodart Co. allow for efficient services that support the development of the Library’s collection to make a wide variety of materials available to South San Francisco residents and library cardholders, improving services provided to the community. This will contribute to the City’s Strategic Plan Priority #2: Quality of Life; and
WHEREAS, staff recommend adopting a resolution authorizing a one-year extension of purchase agreements with distributors Baker & Taylor, LLC and Brodart Co. to supply library books and audiovisual materials, and provide services, including collection development, cataloging, and processing.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of South San Francisco hereby approves a one-year extension of purchase agreements with Baker & Taylor, LLC and Brodart Co. to supply library books and audiovisual materials, and provide services, including collection development, cataloging, and processing.
BE IT FURTHER RESOLVED that the City Council of the City of South San Francisco authorizes the City Manager to execute the agreements in substantially the same form as Baker and Taylor, LLC (Exhibit A) and Brodart Co. (Exhibit B) and to make any revisions, amendments, corrections and modifications, subject to the approval of the City Attorney, deemed necessary to carry out the intent of this Resolution and which do not materially alter or increase the City’s obligations there under; and to take any related action reasonably necessary to carry out the intent of this Resolution.
