Resolution approving and authorizing the City Manager to execute a Second Amendment to the Professional Services Agreement with Athens Administrators to extend the agreement for workers’ compensation claims administration by one year for a total amount not to exceed $1,065,866.
WHEREAS, on June 12, 2019, the City Council approved a Professional Services Agreement with Athens Administrators for worker’s compensation claim administration services for a total not to exceed $620,977 for the July 1, 2019 through June 30, 2022 term, including the option to extend for two additional one-year periods at pre-agreed rates, attached hereto and incorporated as Exhibit A; and
WHEREAS, on June 22, 2022 the City Council approved the first amendment to the agreement (“First Amendment”) to extend the term for an additional year through June 30, 2023 for an additional amount of $219,231, attached hereto and incorporated herein as Exhibit B; and
WHEREAS, the City desires to extend the existing service agreement with Athens Administrators (“Second Amendment”) for worker’s compensation claims administration services for fiscal year 2023-2024 for an additional $225,658; and
NOW, THERFORE BE IT RESOLVED, that the City Council of South San Francisco hereby approves the Second Amendment to the professional service agreement with Athens Administrators for claims administration services for the period of July 1, 2023 through June 30, 2024, and for a total amount not to exceed $1,065,866, with the understanding that $840,208 has already been paid to the contractor.
BE IT FURTHER RESOLVED, that the City Council hereby authorizes the City Manager to execute the Second Amendment to the service agreement with Athens Administrators, attached hereto and incorporated as Exhibit C.
BE IT FURTHER RESOLVED that the City Council hereby authorizes the City Manager to make any revisions, amendments, corrections or modifications to the Second Amendment to the service agreement, subject to the approval as to form by the City Attorney, deemed necessary to carry out the intent of this Resolution and which do not materially alter or increase the City’s obligations thereunder; and to take any related action reasonably necessary to carry out the intent of this Resolution.
