Resolution authorizing the City Manager or their authorized designee to execute the first amendment of a professional services agreement with Protiviti Government Services, Inc., for database extraction and transformation services in a total not-to-exceed amount of $285,000.

WHEREAS, in early 2026, the City initiated an Enterprise Resource Planning (ERP) system project to consolidate Financial Accounting, Payroll, and Human Capital Management (HCM) functions into a centralized solution; and
WHEREAS, during the first four months of the project, the IT Department and Protiviti Government Services, Inc.’s technical team worked to extract and transform data into the new ERP system; and
WHEREAS, the scope and complexity of this work exceeded the original contract amount; and
WHEREAS, Protiviti has been instrumental in advancing the project. Their expertise in the ERP system has made them an essential partner in the successful execution of this project; and
WHERAS, Protiviti can complete the data extraction and transformation through the end of the project for an additional $150,000; and
WHEREAS, the City will piggyback off the California Department of General Services California Multiple Award Schedule (CMAS) for the services; and
WHEREAS, the original contract amount was $135,000, the first amendment proposal totals $150,000, for a total not to exceed contract amount of $285,000; and
WHEREAS, there are sufficient funds in the ERP project fund to cover the additional costs and will not impact the General Fund.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of South San Francisco hereby take the following actions:
1. Approves a First Amendment to the Services Agreement with Protiviti Government Services, Inc., attached hereto and incorporated herein as Exhibit A, for an additional amount of $150,000 and a total not to exceed contract amount of $285,000.
2. Authorizes the City Manager or their authorized designee to execute the First Amendment to the Services Agreement with Protiviti Inc., in substantially the same form as Exhibit A, subject to approval as to form by the City Attorney, and to take any other action for the purpose of carrying out the intent of this resolution that do not materially increase the City's obligations.
3. This resolution shall become effective immediately upon adoption.
